Special General Meeting - Wednesday 4th February

As part of our registration process with the Homes and Communities Agency (HCA) we need to update our rules. To do this we need to inform members and invite them to a meeting to vote on this. The Board discussed and agreed these changes on Jan 14th and now wish to invite you to a meeting on Wednesday 4th February at 7pm sharp at fran.ryan@oclt.org.uk if you would like to see them. Fran is also happy to take any feedback or questions.">Turl Street Kitchen (Small Meeting Room on the first floor) to discuss and agree the rule changes. Our rules, sensibly, say that only a General Meeting to which all members are invited can make these changes. This meeting will be immediately before our monthly scheduled board meeting so it will be very short, involving only voting on these changes, then being adjourned in order to become a board meeting. We'd love to see you if you can make it, even if only for a few minutes (and you are welcome to remain as an observer at the board meeting if you really wish to!), and of course, if you wish to question us about these changes or to vote against for any reason, it would be important to attend.
 

Summary of the changes we wish you to agree to:
 

  1. We need to insert the words ‘social housing’ into our objects to specifically include this category
     

  2. We wish to also set a minimum (of 7) and maximum (of 12) on the Board and a maximum term of office of 9 years. These are normal governance standards and are supported by the National Housing Federation Code of Governance which we have formally committed to last year in order to improve our governance standards.
     

  3. All references to the Financial Services Authority are to be changed to the Financial Conduct Authority.
     

  4. All references to the Industrial And Provident Societies Act 1968 are to be changed to the relevant sections of the new Cooperative and Community Benefit Societies Act 2014
